You will learn how a strong Board Chair and a well-defined Board Charter are essential for navigating complex statutory requirements while maintaining a clear boundary between strategic governance and daily operations. The unit provides practical frameworks for managing board papers, subcommittees, and professional codes of conduct to ensure every meeting delivers effective, binding decisions for the organisation.

You will explore the importance of submitting written reports well in advance so directors can arrive prepared to make informed contributions rather than being distracted by new, unvetted issues.

You will learn the legal and practical requirements for maintaining accurate minutes as a permanent record of board decisions, including the process for declaring conflicts of interest at the start of every session. The module also covers the use of "flying minutes" or circulating resolutions, which allow the board to pass binding, urgent motions electronically between scheduled meetings.

This area clarifies that subcommittees should remain focused on governance tasks like strategy and risk rather than day-to-day operations, providing only recommendations for the full board to approve. You will learn to implement Board Charters and Terms of Reference to provide a clear "job description" for the board and its subcommittees, ensuring everyone understands their specific responsibilities.

The final section emphasises the importance of board discipline, including the creation of an annual calendar to ensure full attendance and the prioritisation of board duties. Directors are encouraged to conduct annual performance reviews to evaluate the effectiveness of the chair and the collective board, ensuring the team remains unified and focused on the club's growth.
