Key Learning Outcomes

Key topics covered in this module include:

This section establishes the constitution as a binding contract between the club and its members, necessitating that all board actions align with the organisation's stated "objects" or purpose. You will learn that while the board has the primary right to interpret the constitution, any formal changes require a rigorous 75% special resolution from members and subsequent approval by the relevant regulator.

Directors will learn to distinguish between the constitution, by-laws, and policies, ensuring that supplemental rules never seek to override the foundation document. This area focuses on using by-laws as a flexible tool for board-level clarification while maintaining operational policies separately to avoid cluttering the club's core legal framework.

This focus area details the board's obligation to make unbiased decisions using a "due process" that considers the interests of the broader membership and external stakeholders. You will explore the tenets of natural justice—including fair hearings and unbiased review panels—to ensure that member disciplinary matters are handled with procedural fairness to protect the club from legal challenges.

The final section outlines the specific statutory rights of members, such as the right to inspect certain records, requisition meetings, and receive financial statements within strict timeframes. You will understand your duty to remain accountable to these "mini-democracies," ensuring the board respects the presumptive trust placed in them by the members who elected them.
To extend your learning, each module includes a curated, downloadable resource sheet featuring essential links and tools—we’ve done the heavy lifting, so you have the industry’s best guidance right at your fingertips!
