Developed in partnership with Club Governance, this practical module examines the twin responsibilities of managing a board's sole operational employee (the Chief Executive Officer, General Manager, or Administrator) and overseeing sensitive member relations. Directors will explore critical frameworks like the "governance bow-tie" model to map clear boundaries between governance oversight and operational leadership, ensuring a balanced relationship free from bullying or overreach. Additionally, the unit provides a robust roadmap for establishing dedicated remuneration subcommittees, setting holistic performance criteria, and administering unbiased member hearings that strictly adhere to the core tenets of natural justice and procedural fairness.

This section breaks down the governance bow-tie model, demonstrating how strategic issues channel through the chairperson and operational matters flow through the chief executive. You will explore critical governance tools (including the board charter, codes of conduct, and ongoing professional development) designed to prevent direct, uncoordinated friction between non-executive directors and operational staff.
Because executive contracts are deeply personal and confidential, this focus area outlines why boards should establish small, targeted remuneration subcommittees rather than involving the full governing body in direct negotiations. You will learn to draft precise terms of reference that grant subcommittees advisory and investigative powers rather than fully delegated authority. Additionally, directors will learn how to access and apply independent sector benchmarks, including data from the Club Managers Association, state-based club bodies, and the Governance Institute of Australia.
This section establishes the necessity of conducting formal executive performance reviews at least annually, moving away from outdated "pound of flesh" mindsets toward balanced, sustainable employment conditions. You will examine how to build balanced key performance indicators (KPIs) spanning organisational culture, staff engagement, financial metrics, compliance, and risk management. Directors will also learn how to structure a reasonable, time-bound Management Improvement Plan (MIP) with the support of industrial relations professionals if executive performance falls below expectations.
The final area addresses the complex legal and procedural requirements of managing member disciplinary hearings and complaints. This section explains why full boards are often poorly suited to run these hearings due to inherent bias or conflicts of interest, advocating instead for independent hearings panels co-opted from the community (such as retired judges or councillors). You will learn the absolute necessity of following constitutional by-laws to the letter (including exact notice periods) while strictly upholding the principles of natural justice and procedural fairness by providing an unbiased forum, clear evidence, and written reasons for findings.
