Key Learning Outcomes

Key topics covered in this module include:

This section introduces the board performance model to illustrate how a high-functioning governing body directly correlates with the ability to attract and retain a top-tier management team. You will examine the critical transitional quadrants of this relationship, learning why board-level governance must actively improve before an underperforming club can successfully pivot toward long-term success.

Directors will explore the delicate balance between maintaining a collegiate, safe boardroom environment and exercising the statutory "inquiring mind" required to challenge management assumptions. This area highlights the chairperson's role in encouraging robust debate, while reinforcing the "majority-in, all-in" rule which legally obligates all directors to publicly support valid board resolutions once passed.

This focus area details the operational mechanics of effective boards, focusing on the timely distribution of pre-reading papers at least five to seven days prior to scheduled meetings. You will analyse the legal weight of board minutes, understanding the legal presumption that recorded items occurred while unrecorded items did not, which effectively serves as a crucial document for care and diligence.

The final section addresses the sensitive procedures required to handle disruptive, rogue, or capacity-diminished directors, including navigating the arduous statutory requirements of Section 203D of the Corporations Act. You will learn to establish clear constitutional by-laws for automatic director removal alongside designing constructive, holistic annual board reviews that focus on collective processes rather than individual criticisms.
To extend your learning, each module includes a curated, downloadable resource sheet featuring essential links and tools—we’ve done the heavy lifting, so you have the industry’s best guidance right at your fingertips!
